About this document

When is it used?

When a partner funds the company's cash needs by lending rather than increasing capital. A written agreement and a bank transfer prevent later disputes over the cash and current accounts.

Points to watch

  • Send the money through a bank, with "partner loan" in the description.
  • An interest-free loan generally causes no issues. For an interest-bearing loan, the rate must be at arm's length, and borrowings from partners above three times equity are treated as thin capital.
  • The finance expense restriction applies to companies whose borrowings exceed equity: Finance expense restriction
  • Agreements stating a sum of money may be subject to stamp duty: Stamp duty
  • In the opposite case, where a partner draws money from the company, interest must be charged: Partners' current account

Legal basis

Turkish Code of Obligations No. 6098 arts. 386–391 (loan for consumption); Corporate Tax Law No. 5520 arts. 11, 12, 13; Stamp Duty Law No. 488.
